BROULEE TENNIS AND SOCIAL CLUB (INC.)

CONSTITUTION

1. Shall be known as the BROULEE TENNIS AND SOCIAL CLUB (INC.), henceforth referred to as “the Club”.

2. Objects of the Club

(a) Promote tennis and social activities.

(b) Raise funds.

(c) To conduct and promote tournament, Championship, social tennis and a variety of tenuis activities and events.

3. Membership

(a) As a family unit.

(b) As juniors.

(c) As individuals.

(d) Membership fees due annually to be set at the Club meeting prior to the Annual General Meeting.

(e) Members whose subscriptions are more than 21 days in arrears shall have no voice in the affairs of the Club or use any Club facilities: but on payment of arrears, shall be restored to full membership privileges. After being unfinancial for one month shall be required to rejoin the Club.

(f) Life membership as agreed at an Annual General Meeting.

 

4. Election of Office Bearers (etc.)

(a) The following officers shall be elected at the Annual General Meeting by financial members and shall hold office for one year:

President

Vice-President

Secretary

Treasurer including duties as Public Officer

These officers shall be the Executive of the Club.

A Social and Match Committee of three, comprising of Social Secretary and two elected members.

(b) The Executive and Social and Match Committee shall form the Committee of the Club.

(c) Any member of the Executive missing three consecutive meetings without due cause, will be replaced at the next general meeting.

(d) The control of the Club affairs shall be vested in the Club Committee.

(e) Minutes of all meetings shall be recorded in a proper Minutes Book. A meeting may be called by the President, Vice-President and Secretary, or any three on the Club Committee.

(f)  Any financial member may attend any Club Committee Meeting and may be heard but cannot vote.

(g) A Special General Meeting may be called by written notice of six members of the Club requesting a Special General Meeting. The request shall state clearly the reasons for calling such a meeting and the business to be transacted. The Secretary, on receipt of such request, shall immediately notify members, giving 14 days notice of Special General Meeting and reasons for it being called.

 

5. Quorum

Shall consist of five for Club Committee Meetings and ten for Special General and Annual General Meetings.

The President will be Chairman of all meetings and, if absent, the Vice-President or elected Chairman. The Chairman shall have a casting vote.

6. Duties of Secretary

The Secretary of the Club will keep minutes of all Club Committee Meetings and General Meetings, attend to correspondence and advise members of meetings and general business pertaining to the running of the Club.

7. Duties of the Treasurer

The Treasurer will handle all financial matters for the Club, present a monthly balance and details of all accounts for payment which shall be entered into the Minutes Book and be paid by cheque signed by any two members of the Executive or paid by money transfer authorized by two members of the executive.

8. Financial Year

The financial year is from 1st July to 30th June. The Annual General Meeting shall be held within 60 days of the end of the financial year.

Club Committee Meetings to be held each calendar month and when required.

9. Social Secretary

To assist in raising funds and to arrange all social functions and attend Club Committee Meetings.

10. Match Committee

Duties shall consist of organisation of competitions, and in conjunction with the Executive Committee, shall organise all inter-club social games.

11. The Constitution shall not be altered, amended or rescinded except after 14 days notice of intention to alter or add to the constitution. Such alteration to be included in the notice at the Annual General Meeting or Special General Meeting convened for that purpose.

12. The Club Committee to be empowered to reprimand, suspend or expel any member who has infringed any rule or, in the opinion of the Club Committee, has prejudiced the good name of the Club. The member to have the right to appeal before the General Meeting and account for his/her infringement and appeal for his/her re-instatement. This appeal to be heard within 14 days of the member’s request.

13. The Club may enter into any agreement or contract with any other club or the Association regarding the use of the courts. Any such agreement or contract to be left to the discretion of the Club Committee.

14. The power to allow the Club Committee to borrow money for the benefit of the Club shall be given at a general meeting.

15. All members shall be considered to have assented to and agreed to be bound by the rules of this constitution

17.  Dissolution of the Club

(a) The Club shall be dissolved in the event of the membership being less than three persons or upon the vote of a three-quarters majority of the members present at a special meeting convened to consider such question. Upon dissolution, assets and funds on hand, after payment of all expenses and liabilities, may be handed over to such registered or exempted charity or charities, as a majority of the members present at a general meeting may decide.
